I just typed "bcfc" into AltaVista and saw that "Birmingham City Football Club" gets a very creditable third place behind Bristol City FC and the Belgian Coarse Fishing Committee. HONG KONG -- Mysterious mainland Chinese investors will soon take over English Premier League football club Birmingham City. The current majority shareholder of Birmingham City, Hong Kong-listed Grandtop International, said Sunday that it had agreed to buy a company called Peace International Creation Ltd. for 800 million yuan ($117.6 million). The consideration will be settled by allotment of new shares and issuance of convertible bonds. Peace International Creation is a shell company that has not commenced business since its incorporation in early January last year in the British Virgin Islands, a tax haven whose regulation doesn't require offshore companies to disclose ownership. In mid-August this year, Peace International Creation acquired a Chinese company, which is now developing an electronic media platform for airports and aircrafts to provide passengers access to movies, TV programs and e-magazines. Grandtop didn't reveal the name of this Chinese company. From its statement filed to the Hong Kong Stock Exchange, Grandtop only said the Chinese company had lost more than 90 million yuan ($13.2 million) in the past two years and just had entered into an agreement with Tianjian Airlines to install the aviation media platform for its flights. It's hard to calculate the potential synergy value--if any--for Grandtop from combining an aviation media service provider with its present major businesses of apparel trading and sourcing. Even more absurd, the deal is going to transfer the controlling stake of Grandtop from its present chairman, Carson Yeung, to two mysterious companies registered in British Virgin Islands. Based on the agreement, Grandtop is going to issue new shares and convertible bonds to Winning Top International Overseas Ltd. and Genuine Ocean International Trading Ltd., the holding companies of Grandtop's acquisition target Peace International Creation. Upon completion of the deal, Yeung's stakes in Grandtop will drop to 9.2% from his present 16.01% stake in the company, while Winning Top and Genuine Ocean, with no details disclosed on their ownership, would hold a combined 42.37% stake in Grandtop (if they fully exercise the convertible bonds issued by Grandtop). Birmingham City will fall into the hands of some phantom investors because Grandtop International bought a 29.9% [RRR-this figure is incorrect] controlling stake in the team last month for 81.5 million pounds ($136.3 million). Grandtop International was little known to Hong Kong investors and fund managers before its sudden and high-profile acquisition of Birmingham City. In fact, the chairman might have been more popular in the gambling city of Macau than in the financial center in Hong Kong. Although he promised to channel about 80 million pounds ($83.7 million) to back the football team, Yeung's rise has been a mystery and a speculated upon in the Hong Kong financial market. Yeung has been reluctant to talk about his career path. The latest annual report of Grandtop only unveiled that the 49-year-old was the chairman of the Hong Kong Rangers Football Club from 2005 to 2006 and has other interests in energy, property and water companies. Unconfirmed media reports said Yeung was a hairstylist until only 10 years ago. One sure thing is that Yeung has a good relationship with Pollyana Chu, chief executive of Golden Resorts casino in Macau and Kingston Securities, which financially backed Yeung's deal to buy Birmingham City. Chu has influence among penny stocks in Hong Kong and is a close friend of Angela Leong, wife number four of Casino King Stanley Ho. From Yeung to two BVI companies, the future of Birmingham City still rests on Chinese investors whose source of income is difficult to divine. The Beeb"]The new owners of Birmingham City FC have contacted police over their concerns about possible irregularities in the Premier League club's accounts. West Midlands Police said officers from its economic crime team met club bosses yesterday to discuss "a number of allegations put forward by the club". It said officers were considering if there were grounds for an inquiry. Hong Kong businessman Carson Yeung took over the club last month from David and Ralph Gold and David Sullivan. The previous owners were unavailable for comment. West Midlands Police said in a statement: "Following the meeting, officers are now assessing a number of allegations that have been put forward by Birmingham City FC to try and determine whether there are any grounds for a formal police inquiry. "The force would stress that at this early stage this is not a criminal investigation, merely a preliminary assessment of some information supplied by the club." A Birmingham FC spokesman confirmed the club had met with police, adding: "As the matter is now in the hands of the police it is not suitable to comment further about this."
